By accessing or using NexExam ("Service"), operated by NexExam Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
NexExam is an AI-powered exam preparation platform designed to help users study for FINRA certification exams, including the SIE, Series 7, and Series 8. The Service includes interactive lessons, practice questions, AI voice tutoring, learning analytics, and progress tracking.
NexExam is an independent educational tool and is not affiliated with, endorsed by, or associated with FINRA, the SEC, or any regulatory body.
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must be at least 18 years old to create an account.
Certain features of the Service require a paid subscription. Payments are processed through Stripe, a third-party payment processor. By subscribing, you agree to pay all applicable fees and authorize us to charge your payment method on a recurring basis until you cancel.
Subscription fees are non-refundable except as required by applicable law. You may cancel your subscription at any time through your account settings or the Stripe customer portal. Cancellation takes effect at the end of the current billing period.
The Service includes AI-powered tutoring features, including voice-based conversations powered by third-party AI providers. AI-generated responses are for educational purposes only and should not be considered professional financial advice or a substitute for official study materials.
We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You acknowledge that AI tutoring is a supplementary learning tool and that exam outcomes depend on your individual preparation.
You retain ownership of any content you submit to the Service, such as notes or feedback. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and process that content as necessary to provide the Service.

All content, features, and functionality of the Service — including text, graphics, logos, software, lesson content, and practice questions — are owned by or licensed to NexExam and are protected by copyright, trademark, and other intellectual property laws.
FINRA, SIE, Series 7, and Series 8 are registered trademarks of their respective owners. NexExam's use of these terms is for descriptive purposes only and does not imply any affiliation or endorsement.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
We do not guarantee that use of the Service will result in passing any exam. Pass rates and success statistics referenced on the platform are based on self-reported user data and may not reflect actual exam outcomes.
To the maximum extent permitted by law, NexExam and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of data, revenue, or profits, regardless of the theory of liability.
Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
We may suspend or terminate your account at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination will remain in effect.
You may delete your account at any time through your account settings. Upon deletion, your personal data will be handled in accordance with our Privacy Policy.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Effective Date" above. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Delaware.
